It could actually be up to or even over 100Mil shares since it's at terrible terms.. It isn't an option if he wants investors. He has to take care of the convertible.

"convertible into shares of
the Company’s common stock at a conversion price equal to
60% of the lowest trading price during the 10 trading days prior
to the date of the conversion notice"
