We are holding a special meeting of stockholders on November 28, 2016 to vote on proposals to (1) approve and adopt an amendment to our certificate of incorporation, as amended, to increase the number of authorized shares of common stock that we are authorized to issue from 400,000,000 to 1,000,000,000 shares and (2) authorize our board of directors to amend our certificate of incorporation, as amended, to effect a reverse stock split of our common stock at a ratio of between 1-for-10 and 1-for-50, such ratio to be determined by our board of directors in its sole discretion.

What a double negative here!
