The 10-K didn't include certain information that the company is allowed to defer until they issue their proxy statement. Alternatively they can provide the info in an amendment to the 10-K, but they have to do one or the other within 120 days from the end of the fiscal year which is Friday.

The decision as to which filing is made could give a clue as to whether the Annual Meeting is going to occur in December or not. Obviously a proxy statement would provide the meeting details. A 10-K/A MIGHT suggest that the meeting is to be pushed forward.
