I neglected to provide a specific link in my post that established that "Kim works for both DECN,and owns Full Circle".

I know that you didn't ask for it but here it is anyway, just in case someone else can't find it for themselves. As I said, it's from the latest filing:

It turns out that the latest filing wasn't the first filing to report Ms. Binder's DECN employment and distributorships.

That filing also reports several issuances of DECN common to her by the company for reasons that weren't apparent to me. (p. 4)
The name Alan Binder also pops up here and there.


Apologies in advance for any future occasions where I might use "from the latest filing" instead of a link. I tend to think that people can find and search the latest filing without help. In this case I'm providing it because someone said that there is absolutely no proof that has been provided that Full Circle Diabetes is owned and run by DECN management or directors when, in fact, it was Berman himself who provided that proof. I'd hate for them to think that I made it up. And don't forget GenstripDirect LLC...Binder apparently owns that as well, according to Berman. Note that in spite of the fact that they are LLC's and could have multiple owners, the filing describes her as THE owner.

The issue would have to be dealt with squarely if DECN was an SEC filer. The sales from DECN to Ms Binder could be construed to be related party transactions and the terms of those sales would either need to be established to be similar to those that the company extends to others in the normal course of business or explained. I don't know if either of her distributorships are included here, but it wouldn't surprise me:
"In 2015, three customers accounted for approximately 80% of net sales compared to three customers accounting for approximately 79% of net sales in 2014".
