Why is Pressey referred to as "interim" CEO? ...is it because the strategy is for $ZONX to be sold?

Why would the 14c be worded so that unallocated shares would not be subject to a hypothetical reverse split? Is it because the company wants to be in a position to "negotiate" the terms of a BUYOUT?
