From my understanding, reverse mergers are a way to cleanly acquire the share structure of a previous company. There are issues that need to be cleared up of course, but the share structure is very important in order to cleanly launch a new business with an established base of support. It almost guarantees an audience. They are worth a lot of money to savvy business people. IMHO.
