janice, it would be helpful to not conflate "subject of" with "subject to", and such parsing of words that occurs on this board frequently, when alleging an irregularity in Nevada legal papers.

To my knowledge Tracy has not been the "subject of" any SEC investigation. He has been 'subject to' subpoena regarding a 'client' in an attempted fishing expedition, but that is legally far different than being the 'subject of' an investigation.

Any busy attorney in securities, corporate, banking & taxes may expect to get an occasional subpoena in regards to a 'client', and they all will remind the court of attorney/ client privileges, the bulwark of our 'system'.

As far as Nevada Laws, by our State Constitution we expressly subjugate to Federal laws more than any of the other States... a condition extracted to attain statehood.
