KDRH 0.02 SEC-reporting shell - 10K/merger due this week

I have a reason to believe KDRH will reverse merge soon
CEO filed form 3 declaring ownership of 10M shares on Sept 6th, dating back to Jan 13, 2015. Why would he formally declare now (20 months after the fact) unless he was getting filings in order before a deal?

Float is 2.7M
