The ownership is effective Jan 13 2015, that is true, but why didn't he file the form 3 last year? He could have, but didn't. It was known that he had the 10M stake since the beginning

It's my opinion that the form 3 was filed because the CEO is in the process of getting the regulatory filings in order before a reverse merger

Whether that turns out to be true or not, we will find out. 10K is due this week, so hopefully there is some pertinent info there
