i'm glad you asked. roche is in control of RVUE now. he owns 51.3%.

What mediocre company can they own since they are broke. If you are broke you sell and not buy.


according to this biography, roche is involved with over 40 private ventures:

we know he was paid $308M in 2009 by docomo, for their 51% stake in roche's 'oak lawn marketing', and roche still retains his 49% stake according to his bio linked above.

i'm estimating the transaction generated over $100M in cash.

so roche is loaded up with RVUE stock, he's got plenty of cash. now what?

well, as i stated here around mid-august:

roche could give DCM some RVUE shares, and then ask for their agreement in a spin-off of his 49% of OLM into the RVUE vehicle.

that's an asset roche already owns imo, so if roche simply moved it into the shell, HOW MUCH WOULD ROCHE BE WORTH, OVERNIGHT?

let's do some quick math. RVUE's OS is 285,277,634 shares.

roche owns 149,009,609 of them.

DCM paid $308M for 51% in 2009. that was at the bottom of a market sell-off, but let's be conservative and say OLM never grew. is $307M a fair price NOW for 49%? we'll plug that in:

$307M asset value / 285M OS = that's $1.08 per share, RVUE.

roche owns 149M shares of RVUE, so with that single transaction he's got a sudden gain of $160.5M.

now we'll try out your theory. what if roche were to give ATV all of RVUE for .013 a share? well, the core business is struggling. you said that yourself. roche paid over $1M for financing RVUE.

so according to your logic roche is going to sell all his ATV stock, then give RVUE to ATV for what he paid in shares to finance it?

who on earth would do that? especially since his own family bought 18M shares of RVUE, likely at higher than where we trade today.

now, back to my theory. would roche put a business he already owns into RVUE if it could make him $160M richer overnight?

this is with no pe ratio, by the way. shouldn't we grant a growing tech company at least a 15 pe ratio? okay, let's do that.

and just to be conservative, we'll have roche give RVUE a bunch of advertising contracts for the private companies he controls AND he can use RVUE for ATV's advertising. we'll give that a value of ZERO.

then we'll assume roche uses some of his $100M+ from the sale of ATV stock to start buying RVUE's competition in DOOH. we'll give that a value of ZERO also. what's the valuation so far?

160M X 15 = $2.4 billion in market cap. right?

2,400M market cap / 285M OS = $8.42/share RVUE.

roche owns 149M shares of RVUE, at 8.42/share... what's that, $1.25B for his stake?

would roche want to make that much money?
