In the final Comment Letter the SEC identified certain questions as to whether the filing satisfied all of the requirements for the registration exemption, which, if not satisfied, could result in liability for the company, as well as for shareholders for selling unregistered securities, among other securities law violations.

CEN Biotech asks you to be patient with it in finalizing the S-1 filing.
