In conjunction with the Blue Ivory agreement, a former shareholder agreed to transfer 20 million preferred shares previously outstanding as
collateral to Blue Ivory. The business and equity structure of the Company were reorganized to provide sufficient collateral for the license
agreement.

These shares continue to be held by Blue Ivory in accordance with the agreement.

with a $1.00 liquidation preference and no dividend rights.
