Definitive Proxy filed.

Now the meeting is in November. Nothing like waiting almost a whole year to have meeting for last fiscal year. Can't remember for sure but I thought annual meetings had to be held within certain amount of time after FY end.

Wants to increase the outstanding shares minimally. Dumb unless there is a plan behind such a small increase. Of course someone should ask who they gave more than 14 million minimally priced warrants too last quarter for financial consultant and what they got out of it. If mgmt. were to show some progress and actually communicate with shareholders meaningful information the stock price might go up and future dilution lessen by default.

Of course the annual vote on board members. Not sure why anyone would select anything but WITHHOLD ...... there is little if any movement towards commercialization of the vision and BoD seems ok with it. I'd have to assume there aren't any happy shareholders. Last year the number of WITHHOLDS increased from prior votes. Other than Maggiore's and HEP Investments votable shares, I don't know why anyone else would vote anything but WITHHOLD. Of course shareholders who don't care any more and don't vote are making a mistake. Of course BoD members excluding Maggiore own grand total of 5,000 shares and that's only because new director held some shares on being appointed.

HEP Investments is actually part of the problem with this company. Prior being the angel investor basically has proven they can't provide the necessary funding to get the job done. Yaldoo put Dahl and Rice in .... which was fine for the turnaround. But its not good enough for the execution necessary for commercialization.

So shareholder can only vote their displeasure on the proxy.
