Proposal 2 . The amendment to the Corporation’s amended and restated certificate of incorporation to authorize the board of directors (Board”) to effect a reverse stock split of the Corporation’s issued and outstanding common stock by a ratio of not less than 1-for-2 and not more than 1-for-15, with the Board having the discretion as to whether or not the reverse split is to be effected at any time prior to the first anniversary date of the Special Meeting, and with the exact ratio of any reverse split to be set at a whole number within the above range as determined by the Board in its sole discretion was approved based upon the following votes:
