On May 17, 2016, PositiveID Corporation (the “Company”) closed a Securities Purchase Agreement (“SPA”) with Essex Global Investment Corp. (“Essex”) providing for the purchase of a Convertible Redeemable Note (“Note”) in the aggregate principal amount of $55,000. The Note has been funded. The Note bears interest at the rate of 10% per annum, and is due and payable on May 17, 2017. The Note may be converted by Essex at any time into shares of Company’s common stock (as determined in the Note).
