"Concurrently, without knowing the number of authorized shares, the number of shares that can possibly be sold is not known either."

Keep in mind that the authoritative source for the A/S is the Secretary of State corresponding to the state of incorporation, not the transfer agent. This is because it is the state, not the transfer agent, which approves the number of shares which are authorized, and the corporation must file an amendment to its articles of incorporation to initiate that modification.

The number which the TA has for the A/S is the number supplied to the TA by corporate management. There are even cases where corporate management has failed to notify the TA of an increase in the A/S, and therefore, the TA will continue to report the old figure even though the Secretary of State reports the correct value.

Not every state will publicly share corporate filings, but DNA Brands, Inc. was incorporated in Colorado, and Colorado provides free access to all corporate filings on the Secretary of State's website.
