Factually incorrect statements.

- there is no language in the S1 stating investors are locked up

- if there was a lockup period it must be stated in the S1 as most even intermediate investors understand

- in fact in the warrant section, it states the opposite- it states that the warrants are "exercisable" - this is clear language suggesting warrant holders have the right to sell
