As the result of a legal action for one of our defaulted promissory notes and the simultaneous issuance to
Dr. Chris Ayo Otiko, our current President, the Company issued 44,520,000 shares of common stock which
represented more than 10% of the outstanding common shares. Additionally, as part of the same action 1,666,667
shares of preferred stock were issued for the benefit of the creditor.
