As FYI, Florida has strict standards in enforcing any action in favor of creditors wishing to "pierce the corporate veil." You must show "improper conduct" on the part of the parent company.

Given the fact that there seemed to be an agreed-upon, robust financial deconsolidation of the two businesses earlier this year and that IVFH was a profitable enterprise preceding/subsequent the merger, any implication that the corporate form/acquisition was based on a fraud is mitigated. Plus, IVFH's core business was and remains, arguably, wholly distinct from that of the FD.
