You may indeed be correct in that it may go to trial-I don't personally believe it will- but if a deal is done, then its done. No due diligence required. And no further court action.
As far as the lawsuit has no impact on the sale of Playboy. Think about it- if you were wanting to buy Playboy, would you proceed with the purchase knowing that you now become the responsible party and would be negatively impacted were Playboy found at fault. I wouldn't touch that purchase with a ten foot pole.
