It was originally put in place, if memory serves, when R. Kirk became a 20%
shareholder. Thus, it was designed to give him veto power over any takeover attempts. Since then his stake has diminished in relative size and with the
growth of the relative positions of institutional shareholders I would guess that the latter shareholders would prefer that a more democratic process be put in place. Who knows what went on at the annual meeting behind the scenes. It was probably a very interesting discussion amongst the whales.
I'd be interested to hear others' opinions on this development.
