Vapor Corp. (the “ Company ”) is filing with the Securities and Exchange Commission (the “ SEC ”) this amended and restated Preliminary Proxy Statement on Schedule 14A (this “ Amendment ”) for its Special Meeting of Stockholders (this “ Proxy Statement ”), which was originally filed with the SEC on February 4, 2016 and amended and restated on February 5, 2016, in order to change the ratio of the proposed Reverse Stock Split (see Proposal 1 on Page 7) from a ratio of not less than one-for-one hundred shares (1:100) and not greater than one-for-one thousand shares (1:1,000) to instead be a ratio of not less than one-for-ten thousand shares (1:10,000) and not greater than one-for-twenty thousand shares (1:20,000), with the exact ratio to be set as a whole number at or within this range as determined by the Company’s Board of Directors. In addition to this change, the proposed meeting date has been changed to March 9, 2016, the Security Ownership table on page 6 has been updated and any share price data set forth in this Proxy Statement has been updated to reflect the closing price per share of the Company’s common stock on February 10, 2016. This Amendment only reflects the changes referenced above. No other information included in the Proxy Statement has been amended by this Amendment, whether to reflect any information or events subsequent to the filing of the Proxy Statement or otherwise.
