PGI Energy management team has announced the resignation of Roger Smith, Robert Gandy and Arael Doolittle from their respective executive positions and as directors. The decision was based upon the disappointing results of not being able to secure a market maker to quote the company stock, lack of a suitable merger candidate and failure to obtain listing on the German Exchange due to the pending inquiry. Market makers have been reluctant to commit to filing our Form 211 with FINRA. The continued efforts to secure funding for oil and gas acquisitions have been fruitless as also affected by the inquiry, thus we have been unable to remove the negative taint from public view. We regret that we could not achieve success with this enterprise and have reached out to others to see if they will take over the business and place an operating asset in place. The dividend shares are typically subject to SEC Rule 144 which governs tradability of restricted shares as free-trading. The rule as read, states a holding period of one year for resale of stocks designated as restricted for non-reporting companies. Shareholders should obtain a legal opinion from counsel before reselling the dividend shares. The company cannot provide legal advice and does not undertake to do so in this recital.
