The term “disclosure controls and procedures” is defined in Rules 13a-15(e) and 15d-15(e) of the Securities
Exchange Act of 1934 as amended (the “Exchange Act”). These rules refer to the controls and other procedures of a
company that are designed to ensure that information required to be disclosed by a company in the reports that it

files or submits under the Exchange Act is recorded, processed, summarized and reported within required time
periods specified in the SEC’s rules and forms, and that such information is accumulated and communicated to
management, including our Chief Executive Officer and Chief Financial Officer, as appropriate, to allow timely
decisions regarding required disclosure.
As of September 30, 2015, the end of the period covered by this report, the Company carried out an evaluation under
the supervision and with the participation of our Chief Executive Officer and President of the effectiveness of our
disclosure controls and procedures. Our Chief Executive Officer and Chief Financial Officer have concluded that
such controls and procedures continued to be effective as of September 30, 2015 .

by this report that have materially affected, or are reasonably likely to materially affect, such control. Based on that
evaluation, there has been no such change during the period covered by this report.
