Two points.

My understanding of the tender agreement is that Astellas is prohibited from buying shares on the open market.

If Astellas is not successful in obtaining the required number of shares as per the tender agreement, Astellas could just walk away from Ocata's purchase.
Astellas has already raised it's original negotiations from 8.00 to 8.40 and the 8.40 to 8.50.
It sure seems that if the current tender is not successful, Ocata's share price will collapse and look a lot worse than the 8.50 on the table now.
