WHAT????? U.S. Stem Cell DOES NOT OWN all of U.S. Stem Cell the "clinic" biz??? So those 6 are NOT "employed" by U.S. Stem Cell, aka former Bioheart. Those are TWO separate companies- one being a little ole LLC set up by it appears to be Comella and some other person and then Bioheart says they "own" or bought or "invested" to buy 1/3 of it.

From the latest 10-Q, PAGE 12:

"NOTE 3 — INVESTMENTS

Investment is comprised of a 33% ownership of U.S. Stem Cell Clinic, LLC, accounted for using the equity method of accounting. The investments in 2014 and 2015 of cash and expenses paid on U.S. Stem Cell Clinic, LLC’s behalf were an aggregate of $59,714. The Company’s 33% income earned by U.S. Stem Cell Clinic, LLC of $11,625 and $23,934 for the three and nine months ended September 30, 2015, respectively, (inception to date income of $14,816) was recorded as other income/expense in the Company’s Statement of Operations in the appropriate periods and increased the carrying value of the investment to $74,530."


The clinic HAS NOT produced JACK CRAP in terms of "revenues" back to Bioheart as was claimed here earlier? READ THE SEC FILING, most recent 10-Q. The money back to Bioheart is freaking noise level. $14K of "income", LOL. It's NOT producing the "vast majority" of revenue to Bioheart, total BS.

So Bioheart owns a whopping 33% interest in the lil ole "clinic" business, for a grand total of $59K "invested" in it so far, LOL !! It costs more than that to buy a freaking Subway sandwich little shop in my area, way more. The little "clinic" biz hasn't amounted to a hill of beans so far. It's on a little website made up of "stock template" pages that anyone can get if they buy a GoDaddy URL- you just pick a "medical" template page and slap some text into the relevant fields. That website can be set up in a few hours, literally. So those 6 showing on there- they're NOT employed by cash poor ole Bioheart, aka now U.S. Stem Cell, Inc.

What's even more interesting, is that the lil ole "clinic" is set up in the name of individuals, NOT showing as being owned by Bioheart, inc, aka now U.S. Stem Cell inc. Which IMO is once again "troubling" to say the least- it's another separate entity they've set up (like Northstar) apparently owned by individuals- and really shows NOTHING in the name of Bioheart, aka now U.S. Stem Cell inc. When GE for example opens a division they own- it's registered and set-up in the name of GE every time I've ever checked. They DO NOT set it up in the name of some brother of the CEO or something, aka like Bob Smith or whatever. But each Bioheart sub website URL is registered to an individual and NOT the corporation and the Florida LLC or Corp docs for these little supposed "sub companies" are also in the name of private individuals and NOT registered as being owned or as sub units of Bioheart, Inc. Seems totally wrong and troubling IMO. A public traded company- feeding money to private owned sub units, units created in the name or employees or people related to them????? MAKES NO SENSE TO ME?

Notice- why is it registered to some individual as the "manager" and as Comella being the "secretary"??? Where is it shown that Bioheart actually owns it? How then do Bioheart shareholders own any of this separate entity? Same thing they did with Northstar LLC looks like to me?

Look at the URL - it's not registered/owned by the corporation, but is registered to an individual. Website URL's are like corporate property. If you look up GE.com, it's registered to the freaking corporation GE, care of their IT manager or IT admin or something, but the corporation is in the owners label. NOT SO with all these little sub websites of Bioheart, all this "new" stuff they've set up. It's all in the name of individuals and the field where the corporate ownership should be filled out is left blank. Looks wrong to me, IMO. Notice, the "registrant organization" field is BLANK. That should be filled in with the corporate owner of that URL which in today's world is important corporate property. GE.com is registered to GE as is Cocacola.com is registered to Coca Cola corporation, NOT some person like Bob Smith or whatever- but that's not the case with ole Bioheart. Nope. ALL in individuals names. Doesn't pass the smell test to me- makes NO SENSE TO ME???

Same 10-Q, just filed a few weeks ago, PAGE 11:

"The Company has four full-time employees and one part-time employee. The Company is heavily dependent on the continued active participation of its two current executive officers, one employee and key consultants. The loss of any of the senior management or key consultants could significantly and negatively impact the business until adequate replacements can be identified and put in place."


TWO of those 4 "full time" are Tomas and Comella so they employ TWO other full time and one other part timer. THAT'S IT. The "big corporation", LOL !! My local single physician practice has more employees with her front office staff, nurse assistant, etc. My local pizza joint probably has 3 times that number of people- and more on a busy weekend, LOL !!!

The lab kits are made by Pavillion Foods owned by what appears to be Comellas mother more than likely, and then does business as even another name of "Palm Supply" which has more "Comellas" tied to it. And then, they created "Pavillion Scientific" and SHAZAM, stacked that with even another "Comella"- keeping it in the ole "family" looks like I guess?? A bunch of sub-sub-sub companies and a web of little LLC's and what not for all thee grand new supposed ventures and "business units" looks like to me? Confusing as hell IMO. ALL WRONG looking to me- cause it's all individuals and "related parries" but not clear who or what part is actually owned by what would be Bioheart Inc, and thus the common shareholders? It's a tangled web IMO.

Recent 10-Q, PAGE 19:

"During the three and nine months ended September 30, 2015, the Company purchased $69,973 and $242,271 lab kits, respectively, from Pavillion, Inc., a related party, whose owner is related to an officer of the Company."


They didn't even accurately list the name in the freaking SEC filing. It's NOT "Pavillion, Inc.". It's "PAVILLION FOODS, Inc" and they have a DBA as "Palm Supply", conveniently left out and not made completely clear in that 10-Q IMO.

Well, according to the Florida Secretary of State, ole Pavillion foods is registered to a Comella, and NOT Bioheart Inc.

THAT is who's making Bioheart's "medical kits" LOL !! Real cutting edge stuff all right. Fa sure.

The freaking "Vetbiologics" didn't even get barely a passing mention in the last 10-Q and NOTHING about them producing any revenues or whatever? WHAT FREAKING PAGE OF THE 10-Q IS THAT ON? Again, it's been set up as a little, private held LLC looks like to me- from reading the Florida Secretary of State site- it's not even clear to me how Bioheart even "owns it" or is gonna account for "revenues" from it from an accounting stand point? It's shown as being run out of a residential home. Check it on Google freaking maps. ALL public info and simple to verify, LOL !!

READ THE SEC FILINGS and CORPORATE FILINGS (LLC and Corp) on the Florida Secretary of State site to get the FACTS.
