Some pinksheet stocks have a pretty low market cap. For example ACTL reportedly (bigcharts) has about 10 million shares outstanding, and a current price of 0.004.

With a total value of $40,000 it wouldn't be difficult for a typical small cap investor to exceed 5% ownership in the company.

My question is, do we as ordinary traders have to file a Schedule 13d in this case?
