Each Unit consists of (i) one share of common stock (each a “Share”), $0.01 par value per share (the “Common Stock”) of UQM, and (ii) one warrant to purchase 0.5 of a share of Common Stock (the “Warrants”). The Warrants have an exercise price of $1.31 per share and are exercisable at any time beginning April 30, 2016 through October 30, 2020.

What on earth are people talking about here? 10 shares per unit...

This is what happens every time a company does a direct public offering. Shares dip below the price of offering, mostly b/c idiot share holders freak out about dilution.

A registered direct offering are what all big board companies do. There is no mystery here. And remember all shares offered must be bought on the open market, so those who bought the .80 shares aren't selling them for a loss right now.
