On June 1, 2010, the issuer purchased 99% of the issued and
outstanding shares of Punta Perfecta S.A. de C.V. a Mexican corporation that owns
the Punta Perfecta project that has an appraised unaudited value of approximately
$5MM. Appraisal filed with the issuer’s Initial Information and Disclosure Statement.
