They could even do it like this. Transfer all of the profits to the parent company (and other shareholders) resulting in a $0.80/share dividend. Then the parent company (90% shareholder) can lend the money back to the company at 0% interest.

The result would be, that the stock jumps to $10. Then they can issue stock for $10 and pay back the loan.
Really simple, actually.
