I am not sure that I agree with your view that they are up to no good. If I were the CEO I likely would be doing the same thing - coming to some sort of resolution on preferred shares. Worst thing the company could do is nothing and then when the company begins to grow the preferred shareholders take a big chunk of the company.

Preferred Shareholders are in a position of strength and it is important that the company comes to terms with the holders. Even if the company comes back and says the preferred shares are invalid I am not going to get all hot and bothered. Why, because I will just hold my preferred shares until such time the company grows and the shares are worth something - then I will test the validity of the shares. In my opinion this would be the company's worst fear - and why they are likely trying to come to some resolution now.

My opinions anyways.
