Absolutely correct.
The failure to file was under the fraudsters. (And regardless, anything that happens like this is by it's very definition the company fault as it is the company responsibility to have it done).
But everything follows after the filing of documents that were so clearly wrong they were questioned by the regulators (exactly the reason there are regulators) - to which the Company responded with promises of explanations and revisions....and never, ever did so. Remember the suspensions, warnings, etc occurred under "company" management. How many times were the pumpers and management promising the 10K and more "soon"...sometimes even exact dates...and regularly with excuses of some wild type why it didn't occur, but more frequently just silence or a new promise.
The receiver COULD NOT file even if he wanted to. To file requires accurate information and financial data that is reconcilable to the previous filings - once those filings themselves have been accepted as accurate. Clearly, none of any of that existed. Because it was all a scam. A fraud. (And also a NO, Deloitte never said it would take on SPNG as a client - even the saying by SPNG that it had engaged a reputable firm was a lie....part of the fraud).
And remember - you can make a new Corporation - with a clean record and everything needed for less than it would cost to even do the record keeping (if records did exist) anyway.
OR you can buy an aged one - with established GOOD history, SEC compliant, banking relationships, etc., etc., for only a few thousand bucks. Just run a search for buy shell corporation or something like that. Take your choice of thousands of them deliverable today buy hundreds of different brokers.
