It's in the SEC FILED 14C document. THEE ONLY document that matters IMO- "PRs" just "cherry pick" the info the company wants to present that typically "sounds good" or at least "sounds better" as far as my experience reading BHRT "PR".

THEE ONLY PLACE IMO to find ALL THE FACTS is always in the legal SEC FILINGS, on the SEC EDGAR database- the company's not going to put the all the fine "details" in a "PR", LOL !! At least not these guys- not per my experience at reading their "PRs" in the past, versus the harsh REALITY later found in their SEC FILINGS. That's my opinion for what it's worth.

That is THEE SEC FILED 14C for Bioheart related to this massive 1000:1 R/S split and the corporate name change and all- it's a SIXTY THREE PAGE DOCUMENT, as opposed to a "PR", LOL !!

"PLEASE NOTE THAT THE REVERSE STOCK SPLIT WILL HAVE THE EFFECT OF SUBSTANTIALLY INCREASING THE NUMBER OF SHARES THE COMPANY WILL BE ABLE TO ISSUE TO NEW OR EXISTING SHAREHOLDERS BECAUSE THE NUMBER OF AUTHORIZED SHARES WILL NOT BE REDUCED WHILE THE NUMBER OF SHARES ISSUED AND OUTSTANDING WILL BE REDUCED 1,000-FOLD."


That is the company that put that IN ALL CAPS LIKE THAT, THEY EMPHASIZED IT WITH ALL CAPS IN THE SEC FILING, LOL !!!

So the company WILL STILL HAVE 2 Ba BILLION SHARES OF STOCK "authorized" - and can DILUTE BACK to 2 BA BILLION shares as rapidly as they want or need- even as the retail shareholder's accounts get reduced by a factor of 1000:1. Oh, and the REAL NUGGET - is that the PREFERRED SHARES don't appear to get effected by the ole 1000:1 split, NOPE. Looks like the holders of 20 MILLION preferred shares still hold 20 MILLION post split per my read of that 14C document- it looks like plain English to me????

So Ole Northstar Biotech LLC, aka the insiders, they get to keep their 20 MILLION preferred shares, while all other "common shares" get reduced by 1000:1 LOL !! (sure looks that way to me from reading that 14C?????) Remember, those preferred shares carry a 25 to 1 VOTE rights for each common share, aka 500 MILLION voting rights. They just handed ole Northstar LLC another golden nugget looks like to me. What a surprise, eh?

So, it says the preferred shares ISSUED AND OUTSTANDING STAYS THE SAME, while all other shares get whacked with a 1000:1 R/S????????? I can't for the life of me figure out how that "works" exactly? Northstar LLC holds all those preferred share, aka insiders- and they carry a 25:1 voting rights, aka 500 MILLION votes. So they get to keep their 20 MILLION preferred while all others get reduced by a factor of 1000, cause that's what that table clearly says to me????? MAKES ZERO SENSE TO ME, NONE??????

Same SEC 14C filing, PAGE 58:

"Preferred Stock

The Company is authorized to issue 20,000,000 shares of preferred stock, par value $0.001. The designations, rights, and preferences of such preferred stock are to be determined by the Board of Directors. Subsequently, 20,000,000 shares were designated as Series A Preferred Stock.

The Series A Preferred Stock collectively has voting rights equal to 25 votes on all matters presented to be voted by the holders of common stock per share of preferred stock and the right to convert to one share of common stock for each share of preferred stock. Northstar Biotechnology Group, LLC was issued an aggregate of 20,000,000 shares of Series A Preferred Stock."


Again, it MAKES NO SENSE TO ME PERSONALLY, NONE????? I can't figure it out- but then again, most of what this company does makes no sense to me personally, so why am I surprised, LOL???????????

The 14C is 60 plus pages long- I'm still reading it trying to find all the lil ole "nuggets" in it. It's loaded with tid-bits of info IMO. As usual.
