On July 20, 2015,
a stockholder who beneficially owned 1,012,000,000
or approximately 51.85% of the combined voting power
of the common stock and Series A preferred stock
consented in writing to amend our articles of
incorporation and
increase the authorized shares of common stock
from 3,000,000,000 shares to 10,000,000,000 shares
with a par value of $0.001 per share.

Also on July 20, 2015,
our board of directors approved the above action,
subject to approval by the stockholders.
No other corporate actions to be taken
by written consent were considered.
