There is not much overlap between the two. Corporate governance is really something the BOD needs to take care of.

Cerestm will look into loans, asset sales. They mention asset security. So that could mean insurance, patents etc. The JV partners don't do much work. And you can't expect Dan to go looking for a buyer if they want to sell FF2 for instance.

That's how I see it.
