Valuation needed for shares to be worth $1

If I am understand your posting correctly, you believe the existing common shares are worth $1, with the existing common shares getting warrants in Newco for 17.5% of the company.

In order for the existing common shares to be worth $1/share, in Newco that 17.5% in the warrants would need to be worth $126 million. In order for 17.5% to be worth $126 million, the market cap of Newco would need to be $720 million. ( $126 / .175 = 710 )
