Not only is the shell very far from "clean", the Company does not exist. It has been revoked.

Even clean non-SEC reporting shells are almost valueless. But throw in the convertible debt, the sordid history, the ongoing SEC investigation and that the Company is no longer in existence, the value of the "shell" is pretty much zero.
