Actually it is not. Perhaps you should take the time to read the complaint once again. The thrust of it is actually that the defendants lied to and misled shareholders in filings, press releases, and other information they disseminated.

There's also the business of the company issuing S-8 free trading stock to investors. That's a major no-no, and will be a slam dunk for the SEC.
