So Mercom has $1.3 million dollars American, but has clearly indicated that cash in hand will be applied to any investment, but instead be used for operations(paychecks).

In other words, they have no money for investments. Their only funding mechanism for investment opportunity is by way of selling shares.That takes
additional time to raise $5 million.
