Wwweeellllll......yeah, technically speaking. The statutes do say that a Form 10 has an automatic effectiveness in 60 days. However, it IS reviewed by the SEC and commented upon. And the SEC has in fact thrown out some form 10's "as garbage". But when they have serious concerns, more often they "suggest" that the Form 10 be "voluntarily withdrawn" until it has been revised to their satisfaction.

I guess it is possible to legally snub the SEC then file a 10K at the end of 60 days....Good luck with that.

But that is likely what BAYP would probably have to do.
