So on 4/3/2014, Exobox' sole officer & director caused a suit to be filed against Zachary Tsambis for Intentional Interference with Prospective Economic Advantage and Civil Conspiracy

In Exobox' original complaint, it stated:

Plaintiff Exobox Technologies Corp. (“Exobox”), by and through its counsel of record, the law firm of Greene Infuso, LLP, hereby complains and states as follows:

PRELIMINARY STATEMENT

This is an action for monetary damages in the amount of at least $1.5 million for intentional interference with prospective economic advantage and civil conspiracy. Exobox is a publicly traded Nevada corporation that trades on the over-the-counter (OTC) market. Defendant Zachary Tsambis (“Tsambis”) claims that he is one of Exobox’s shareholders. Tsambis is a moderator on the website Investorshub (“iHub”), and regularly participates on online message boards discussing investments, including Exobox.

In early 2014, Exobox announced publicly via a Form 8-K Current Report that it was going to acquire a majority of the equity interests in Cherubim Builders Group, LLC (“CBG”) from PDX Partners, Inc. (“PDX”) (the “Share Exchange”). At its most basic level, under the Share Exchange, Exobox would have acquired CBG—a highly profitable construction company—and would also have raised significant and much-needed funds. CBG, in turn, would be able to immediately go public while Exobox reorganized into a new publicly-traded company. At the same time, the shareholders of Exobox would maintain their shares in Exobox’s interests through the new public company and would also be given shares of the emergent, publicly-traded CBG company.

Consistent with past actions, Tsambis has taken it upon himself to undermine the deal. He used the iHub forum and other message boards to make false statements about Exobox and threatened to file a lawsuit to enjoin Exobox from consummating the Share Exchange. Other alleged Exobox shareholders also used these mediums to further disseminate false information about Exobox and the Share Exchange. In addition to spreading false information about Exobox, Tsambis used iHub to solicit and obtain funds from many of these alleged Exobox shareholders to finance the lawsuit Tsambis threatened to file. At this time, Exobox only knows these other alleged Exobox shareholders by their iHub screen names. Exobox will amend its complaint to add these other parties as their true identities become known through and during the course of discovery.

On February 28, 2014, Tsambis filed a lawsuit in Harris County, Texas, using the funds solicited from the currently-unknown alleged Exobox shareholders (the “Texas case”). In the Texas case, Tsambis relies on information he knew to be false and alleges that the proposed Share Exchange was detrimental to Exobox’s shareholders. Tsambis’ filing of the Texas case, which he knew to be meritless, caused PDX to cancel the Share Exchange with Exobox, thus causing Exobox monetary damages.





Yet on 4/19/2014 (approx two weeks later), the following txt msg is sent from (949) 945-8069:

"I'm sure we are sick of spending money for no reason. I want the best for exobox. That's all I've ever wanted. I hope you're on the same page. Let's talk and come to an amicable solution to this all."





Well let's just say I too believe Exobox shareholders also want an amicable solution. That's my opinion.

But what is an amicable solution?

Maybe after the shareholder's expert witness report is filed, and after the depositions of Exobox' PMK and former CEO (and possibly others), shareholders can conclude what an amicable solution would be.

Hang in there Exobox shareholders. All these things that are going on right now are going to take a lot more time in my opinion. But ultimately, one way or the other, all these issues will be resolved !!
