Entity Actions for "EXOBOX TECHNOLOGIES CORP."

"I declare under penalty of perjury that the reinstatement has been authorized by a court of competent jurisdiction or by a duly elected board of directors of the entity or if the entity has no board of directors, its equivalent of such board.

"I declare, to the best of my knowledge under penalty of perjury, that the information contained herein is correct and acknowledge that pursuant to NRS 239.330, it is a category C felony to knowingly offer any false or forged instrument for filing in the Office of the Secretary of State"

I'm pretty certain that the reinstatement was NOT authorized by a competent jurisdiction.

I'm pretty certain that Exobox had a Board of Directors because it states in the SEC 8-K filing below that:

http://www.sec.gov/Archives/edgar/data/1335002/000100233413000044/f8k080713mgt.htm

"On August 5, 2013, Jacob P. Cukjati resigned as Chairman of the Board of Directors and Alexander Hall resigned as a member of the Board of Directors after appointing Shaun Irvine to the Board of Directors. Mr. Irvine will also serve as Chief Executive and Financial Officer."

Was Exobox' reinstatement truly authorized by a duly elected Board of Directors or was Exobox' reinstatement authorized by an appointed Board of Directors ???

Exobox can sue whoever they want, but it doesn't change the facts here folks !!!!

Shaun Irvine was appointed (not elected) by what I consider to be an illegal holdover of the company, Jacob Jack Paul Cukjati, whose term as an Exobox Board member I believe expired in October 2012 if not sooner.

Everybody knows who this Jack Cukjati is right? The one-time sole officer & director of Exobox who refused to hold an annual meeting for the election of the Board of Directors (most likely because in my opinion he didn't want to be voted off the Board by shareholders).

How does what I believe to be an illegal holdover of the company, Jack Cukjati, get to appoint an unelected person to the Board of Directors, Shaun Irvine, who as the sole officer & director then authorizes a new series class of stock (without shareholder approval), who then approves an increase in the number of shares that Exobox is authorized to issue (again without shareholder approval), who then issues himself the equivalent of 500 million shares (upon information and belief quite possibly without any payment to Exobox), who then approves these issuance of shares to himself (giving him full control of Exobox), all while failing to furnish any books & records for inspection (despite several demands), and failing to conduct an annual shareholder meeting (despite there not being an annual shareholder meeting in over 4 years) ?????

Wouldn't this be considered SELF DEALING, BREACH OF FIDUCIARY DUTY, BREACH OF CONTRACT, WASTE OF CORPORATE ASSETS, and/or UNJUST ENRICHMENT ?????

http://www.sec.gov/Archives/edgar/data/1335002/000100233414000006/f8kacquisition.htm

"On January 29, 2014, and in consideration of approximately $50,000 in cash, the Company issued 5,000 shares of Series D Convertible Preferred Stock to its sole officer and director, Shaun Irvine."

Really ??????????

In consideration ????????

Approximately ??????

In cash ???????

"The current control person is Shaun Irvine, who holds all of the outstanding Series D Convertible Preferred Stock, giving him the right to convert into, and in the interim exercise the voting power, of 500 million shares of common stock. This is equivalent to approximately 51% of the Company's outstanding shares on a fully diluted basis."

Really ???????

Holds all of the outstanding Series D ??????

Giving him the right to convert ???????

Exercising the voting power of 500 million shares ??????

This is equivalent to approximately 51% of the Company's outstanding shares ???????

WTF is going on here folks? And they are suing shareholders? For what? For stopping a reverse split? For stopping a reverse merger?

Wow I've seen a lot of crazy things happen in my life regarding the stocks I own, BUT THIS TAKES THE CAKE, (~~you silly muppet ;) !!!

Does any of this mean anything to anyone? If yes, here you go..

I ain't quitting !!!!! This Thursday March 26th 10:00am PDT I believe there will be a Court Hearing in the State of Nevada to determine Exobox shareholder's rights in having a Court Ordered shareholder meeting (as well as some other things.. eh hmm..)

Go Exobox Shareholders !!!!
