Existing law would govern private corporation's shareholders rights.

Common shareholders would only need recourse through the courts if the company denied payout to shareholders after existing debt was paid. Would probably be silly to do so since management also owns shares.

In any event, the shareholders would undoubtedly win such a case.

Current value would be anyone's guess at this point. You would probably also want some competing offers if one was presented. Continuing to increase the company value via increasing sales/revenues and strengthening the balance sheet should be the goal in any event.
