I don't think it is obvious that SIAF cannot get a big straight loan within the next 12 months. It may be a tradeoff. The interest rate in a straight loan could be so high that it would be better to have convertible debenture if the stock price were to go so high that there would be little dilution in a meaningful sense choosing a convertible debenture.
