Well it's paid in capital. All the capital put into the company is represented by 10m shares of seergate and is going to be paid 150m shares of myecheck at a later date than the balance sheet date of 3/31. That debt won't exist on any balance sheet after the May 7 date. No company that doesn't earn revenues is debt free only an idiot would think otherwise. There just isn't 5m of debt suggesting that is preposterus.
