convertible debt: 160,525 (p 2) a/o March 31. converted 103,363 into 60m shares (subsequent events pg 19) so they current have about only 57k principal out there now and 122k due sometime in the future... low convertible debt and low OS = stock needs to go up

also i don't know that there's even been 60m volume since then! that would yield an avg conversion of .0017 so these guys will need the stock to go up to make any money on the conversion = stock going up
