RESIGNATION OF
HALL OF FAME BEVERAGES, INC.
AS
THE INCORPORATOR
OF
OSCEOLA GOLD INC.,
a Colorado corporation
In due course, following the acceptance of the Articles of Incorporation of Osceola Gold Inc.
by the Office of the Secretary of State of the State of Colorado, to become effective following the
completion of the tasks requisite to establish and formally organize the corporation, the date to
be determined by the incorporator, I, Randolph S. Hudson, as the duly elected President of Hall
of Fame Beverages, Inc., will hereby resign Hall of Fame Beverages, Inc. as the incorporator of
said corporation; and, further, waive all rights and claims to and against Osceola Gold Inc., as
such rights are permitted to an incorporator of a Colorado domestic, for-profit corporation
under the Colorado Business Corporation Act.
