On the second, I intend on offering my logic in another post and humbly suggest that my familiarity with the M&A process offers a grounded perspective. The only logic an acquirer needs to offer is justified by an explanation of the synergies gained, the improved market share, the geographic expansion, the furtherance of their pipelines, all of which improve margins. And, that is what shareholders care about.
