…my take is that this $20M [shelf registration] is probably a result of institutions saying "hey, we really want in, but we can't buy open market otherwise the price will spike too high…”

Total BS. If a partner wanted to take an equity stake in ADXS, the newly issued shares could be registered after completing the transaction, and ADXS wouldn’t need a shelf registration to consummate the deal.
