I like this part, convertible at no less than $1.50/share 
That says a lot!!!!
"The Note has a maturity date of March 27, 2020, and bears interest at the rate of Prime plus five percent (5%) during the first 36 months, increasing to an interest of Prime plus six percent (6%) for the remaining 24 months. The Note is convertible into shares of common stock of the Company at a price of $1.50 per share. "
